Registering a school in Nigeria requires careful planning, strategic organization, and compliance with regulatory requirements. A well-structured school setup enables institutions to provide quality education, create a positive learning environment, and maintain the unique identity of the school. In Nigeria, setting up a school is a regulated process with specific requirements.
Some time ago, a woman in Abuja started a small school in her backyard with a handful of students. Today, it is a fully registered institution impacting the education of hundreds of children. Her journey shows that with the right steps, big things grow from small beginnings.
Below, we provide a comprehensive guide to help you navigate the steps and considerations involved in registering a school in Nigeria, from obtaining necessary approvals to meeting educational standards.
The Requirements for registering a School in Nigeria
1. Business Structure
Schools in Nigeria can only be registered as a limited liability company with the Corporate Affairs Commission (CAC). Previously, schools could be registered as a business name; however, the commission directed, by a circular in March 2022, that schools must be a body corporate with perpetual succession, capable of contracting and issuing certificates in its own name, which attributes are absent in a business name.
2. Proficiency/Qualification
At least one of the directors in the proposed school must possess a valid Teachers Registration Council of Nigeria (TRCN) certificate. This is valid evidence of membership, and without this, the application will not be approved.
The Registration Process
1. Reservation of Proposed Names: Two names must be reserved for approval by the commission: the preferred name and an alternate name.
2. Obtaining Necessary Information: Information on the directors and shareholders, such as bio-data, signatures, valid identification cards, and shareholding ratios, must be obtained. This information is required during the application to the commission.
3. Preparation of Incorporation Documents: The Memorandum and Articles of Association (MEMART) should be drafted to suit the nature of the business of a school institution.
4. Application to the Corporate Affairs Commission (CAC): Complete the requisite forms, submit all necessary documents, and pay the prescribed statutory fees.
5. Approval and Registration: Once the CAC approves the application, the school is officially registered, and the Certificate of Incorporation is issued.
After Registration with the Corporate Affairs Commission
After the company is successfully registered, the next step is to obtain approval from the Ministry of Education in the state where the school is located. This approval ensures the school meets regulatory standards and avoids potential penalties.
Licenses Required to Operate a School in Nigeria
After registration, the school must obtain certain licenses and permits to operate legally. These include:
- Approval from the Ministry of Education
- Fire safety certificate
- Health and sanitation permit
- Zoning and building permit
Conclusion
Setting up a school in Nigeria goes beyond having a passion for education; it requires proper registration and compliance with regulations. By following the proper procedure, from CAC registration to obtaining approval from the Ministry of Education, you lay a solid foundation for your school.
With the right guidance, you can bring your vision to life and contribute to the future of education in Nigeria.
